Welcome to GoodWallet! These Terms of Service ("Terms") constitute a legally binding agreement between you and GoodWallet, governing your access to and use of the GoodWallet website (thegoodwallet.org), mobile applications, application programming interfaces (APIs), and any other services offered by GoodWallet (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.
To utilize certain features of the Services, you may be required to create an account. You represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, and possess the legal capacity to enter into a binding contract with GoodWallet. You further agree to: (a) provide true, accurate, current, and complete information about yourself as prompted during the registration process; and (b) maintain and promptly update such information to keep it true, accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify GoodWallet of any unauthorized use of your account or any other breach of security. GoodWallet reserves the right to suspend or terminate your account if any information provided is untrue, inaccurate, not current, or incomplete, or if GoodWallet has reasonable grounds to suspect such is the case.
You agree to use the Services solely for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. Specifically, you agree not to engage in any of the following prohibited activities:
GoodWallet provides the services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, GoodWallet makes no representations or warranties of any kind, express or implied, regarding the services, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. GoodWallet does not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
To the fullest extent permitted by applicable law, in no event shall GoodWallet, its affiliates, or their respective officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the services, even if GoodWallet has been advised of the possibility of such damages.
While the creation of a GoodWallet account is free of charge, GoodWallet and its payment processing partners may collect a transaction fee when funds are successfully transferred to a designated charity. The specific fee structure will be disclosed at the time of the transaction. You are responsible for any applicable taxes associated with your use of the Services. GoodWallet utilizes third-party payment processors to facilitate transactions. By using the Services, you agree to be bound by the terms and conditions of the applicable payment processor(s).
The Services may contain links to third-party websites or resources. GoodWallet provides these links solely as a convenience and does not endorse the contents of any linked website. You acknowledge and agree that GoodWallet is not responsible or liable for the availability or accuracy of such websites or resources, or for the content, advertising, products, or other materials on or available from such websites or resources. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such websites.
The Services and all content and materials included on or made available through the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (collectively, "Content"), are the property of GoodWallet or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, GoodWallet grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and Content solely for your personal, non-commercial use in connection with the legitimate functions of the GoodWallet platform. Any unauthorized use, reproduction, modification, distribution, or republication of the Services or Content is strictly prohibited.
You are solely responsible for any content you upload, post, or otherwise transmit through the Services ("User Content"). You represent and warrant that you own or have the necessary rights and permissions to use and authorize GoodWallet to use your User Content as described in these Terms. By submitting User Content, you grant GoodWallet a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with the Services and GoodWallet's business.
You may terminate your account at any time by contacting GoodWallet at team@thegoodwallet.org and requesting account deactivation. GoodWallet may, in its sole discretion, suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, any funds remaining in your account will be disbursed in accordance with these Terms to the charities you have previously designated. If no such designation exists, GoodWallet will disburse the funds to a default charity determined at its sole discretion. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You agree to indemnify, defend, and hold harmless GoodWallet, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be exclusively resolved in the state or federal courts located in San Francisco County, California, and you hereby consent to the exclusive jurisdiction and venue of such courts.
GoodWallet respects the intellectual property rights of others and expects users of the Services to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), GoodWallet will respond expeditiously to claims of copyright infringement committed using the Services if such claims are reported to GoodWallet's Designated Copyright Agent identified below.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and GoodWallet regarding the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and GoodWallet with respect to the Services.
GoodWallet reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after the effective date of any such changes constitutes your acceptance of the revised Terms.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of GoodWallet to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
